Transactions Highlight Successful Business and Commercial Work

Several examples of commercial transaction success from the past year highlight the capabilities of Goldberg Segalla’s Business and Commercial Practice Group.

In early May of this year, Goldberg Segalla, through Bruce W. Hoover, of counsel in Goldberg Segalla’s Business and Commercial Practice Group, with the assistance of Richard A. Braden, represented a healthcare intelligence leader in its acquisition of the software and service end of a major healthcare technology company. The client, a provider of real-time and granular channel information for leading pharmaceutical and medical supply companies, acquired a business that administers rebates and chargebacks, manages GPO contract and membership eligibility, optimizes sales operations and tracings, and evaluates and adjusts pricing strategies.

Just a few months earlier, Bruce represented a national transportation company in its acquisitions of two companies in the Midwest, and, with Rick, represented a company recognized as a leader in the manufacture of electrical wiring protection systems in the sale of this business unit to a global manufacturer.

In the first instance, in late 2012, the transportation company increased its presence in the Northeast Illinois and Northwest Indiana markets with the purchase of another leasing and rental company. The acquisition of this new Illinois branch came with nearly 150 lease and rental vehicles. This was the company’s second major acquisition within the last year; Bruce also represented it in the purchase of a leasing and rental company in February 2012.

The second instance, in August 2012, saw Bruce and Rick assist in the sale to a large, global supplier of electrical wiring protection systems. The acquisition allows the supplier to take a leading position in the North American market.

In May 2012, Goldberg Segalla represented an automotive group, ranked in the top 30 of national autogroups, in its acquisition of the assets of a dealership in Williamsville, New York.
